Software Subscription Agreement

1. Agreement Overview

This Software Subscription Agreement ("Agreement") is entered into between Ewii Enterprises ("EwiiDine", "we", "us", "our") and the subscribing entity or individual ("Customer", "you", "your"). By subscribing to EwiiDine's restaurant management platform, you agree to be bound by the terms outlined in this Agreement.

2. Subscription License

Upon payment of the applicable subscription fees, EwiiDine grants you a non-exclusive, non-transferable, revocable license to access and use the EwiiDine platform for the duration of your subscription period. This license is limited to the number of branches, users, and features included in your selected plan (DineStart, DinePro, or DineElite).

3. Subscription Plans & Fees

Subscription fees are based on the plan selected at the time of purchase. Fees are billed monthly or annually in advance and are non-refundable except as outlined in our Refund Policy. We reserve the right to modify pricing with 30 days' written notice. Annual subscriptions are eligible for a discount as indicated on our pricing page.

4. Free Trial

EwiiDine offers a 14-day free trial with no credit card required. During the trial period, you will have full access to the features of your selected plan. At the end of the trial, your account will be deactivated unless you subscribe to a paid plan. No charges will be applied during or after the trial without your explicit consent.

5. Data Ownership & Privacy

You retain full ownership of all data entered into the EwiiDine platform, including menu items, orders, customer information, financial records, and staff data. EwiiDine will not sell, share, or disclose your data to third parties except as required to provide the service or as required by law. Data handling is governed by our Privacy Policy.

6. Service Availability

EwiiDine guarantees 99% uptime for all paid subscription plans. Scheduled maintenance windows will be communicated at least 24 hours in advance. In the event of unscheduled downtime exceeding 4 consecutive hours, affected customers may be eligible for service credits proportional to the downtime experienced.

7. Acceptable Use

You agree to use EwiiDine solely for lawful restaurant management purposes. You shall not reverse engineer, decompile, or attempt to extract the source code of the platform. You shall not resell, sublicense, or provide access to unauthorized third parties. You shall not use the platform to store or transmit harmful code, malware, or illegal content.

8. Intellectual Property

The EwiiDine platform, including all software, design, logos, documentation, and proprietary technology, is the exclusive intellectual property of Ewii Enterprises. This Agreement does not transfer any ownership rights to you. Your restaurant data, branding, and content remain your property.

9. Termination

Either party may terminate this Agreement at any time. You may cancel your subscription from your account settings. Upon termination, your access will continue until the end of the current billing period. After termination, your data will be retained for 30 days, during which you may request a full export. After 30 days, data will be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, EwiiDine's total liability under this Agreement shall not exceed the total subscription fees paid by you in the 12 months preceding the claim. EwiiDine shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the platform.

11. Modifications

EwiiDine reserves the right to modify this Agreement with 30 days' notice. Continued use of the platform after the effective date of modifications constitutes acceptance of the updated terms. Material changes will be communicated via email and in-app notification.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada. Any disputes arising under this Agreement shall be resolved through binding arbitration or in the courts of competent jurisdiction in Canada.
